Platform summary
The Platform is a marketplace where Businesses and Service Providers can find each other, and advertise and trade professional services online. We provide the Platform to users (including hosting and maintaining the Platform), assist Businesses and Service Providers to form contracts for the supply of services and allow Users to browse and purchase business products and tools from us and third parties (together The Pitch Portal Services). You understand and agree that we only make available the Platform and The Pitch Portal Services. We are not party to any agreement entered into between a Business and a Service Provider and we have no control over the conduct of Service Providers, Businesses or any other users of the Platform.
Businesses and Service Providers may enter into written agreements in relation to the services. To the extent there is inconsistency between any additional terms and conditions and these Terms, these Terms will prevail.
A Service Provider wanting to provide services creates an Account on the Platform and creates a profile showcasing their skills, experience and investment interest and posts a complete description of the services they can provide (Service Provider Listing). The Service Provider Listing will stay live on the Platform until you remove the listing or delete your Account.
A Business wanting to obtain services creates an Account on the Platform to view and browse Service Provider Listings. A Business may click ‘I’m interested’ and negotiate an arrangement for the provision of services with a Service Provider through the Platform or off the Platform. A Business may request services by sending a request to the Service Provider, outlining in writing, the services to be provided and the remuneration arrangement. The request is an offer from the Business to the Service Provider to purchase the services described in the request (Project Request).
A Business may also post an accurate and complete description of the services they require through the Platform (Pitch Listing). The Pitch Listing will stay live on the Platform until you remove the Pitch Listing or you delete your Subscription.
A Service Provider may click ‘I’m interested’ and negotiate an arrangement for the provision of services to a Business. If a Service Provider desires to provide services to a Business in accordance with a Pitch Listing and/or the pitch negotiated between the Users, a Service Provider will make an offer detailing the services to be provided and the proposed remuneration arrangement for the services (Offer). By making an Offer, the Service Provider confirms that they are legally entitled to and capable of supplying the services described in the Offer.
If the Service Provider accepts the Project Request, or a Business accepts an Offer, it becomes a Project Plan.
By accepting a Project Request or making an Offer, the Service Provider confirms that it is legally entitled to and capable of supplying the services described in the Project Request or Offer.
If the Project Plan documents that there are no further terms and conditions to be agreed, such as through the milestone management tool, then a binding agreement is created between the Service Provider and Business (the Project).
If the Service Provider and Business intend to use the milestone management tool provided through the Platform to create milestones and deliverables for a Project Plan, they must document this in the Project Plan. A Project and binding agreement between the Service Provider and Business will only be created once they mutually agree on the milestones to be achieved using the milestone manager tool. The milestones agreed between the Users will form a part of the binding agreement between the Users.
Communication
We may contact you via the Platform using in-Account notifications, or via off-Platform communication channels, such as text message or email.
Businesses and Service Providers can communicate privately using our private messaging service or offline using the listed contact details.
Payment
Payment for Projects
As a Business, you agree to pay the relevant remuneration set out in the Project Request or Offer at the time the Users have agreed that payment will occur. The Users agree that all remuneration arrangements, whether cash, equity, services or any other arrangement will be facilitated off the Platform and we will not be responsible for ensuring that payment occurs.
Payment for Products
You may purchase business products and tools (Products) from us by paying the price for the relevant product as set out on the Platform (Product Fee) and following any other instructions on the Platform. If you purchase a Product from us through the Platform, this constitutes an offer by you to purchase the product for the Product Fee notified at that time. Each time that you request a Product, this results in a separate binding agreement between you and us for the supply of a Product in accordance with the Terms. If you click on an advertisement for a business product or tool and it links you to a third party website, we will not be responsible for the provision of that product and you must agree to the third party’s terms and conditions in order to purchase the product.
It is your responsibility to verify what you are requesting, including details of the Product you have selected and pricing, before you request our Products. You warrant that you have considered the details of the Product, and have determined that they are appropriate for you. After purchasing a Product, you may be able to access certain features on the Platform for a period set out on the Platform. After that time, you may no longer have access to the Product.
Payment for Subscriptions
To access The Pitch Portal Services, you must select a subscription option. Once you have created an Account, you may choose between different tiers of subscriptions to access different features, as set out on the Platform (Subscription Fee) to benefit from your Subscription.
As a Service Provider, you may select to have a free Account with basic features.
As a Business, your Subscription may begin with a free trial. The free trial period of your Subscription will last for the period specified on the Platform. We determine free trial eligibility in our sole discretion and we may limit eligibility to prevent free trial abuse. We reserve the right to revoke the free trial and suspend your Account at any time in the event that we determine that you are not eligible. After your free trial ends, your Pitch Listing will be removed from the Platform and you may choose to purchase a Subscription as set out on the Platform.
To the extent permitted by law, the Subscription Fee is non-refundable and non-cancellable once paid.
The Subscription Fee will be charged upfront as a one-off payment, or on a monthly basis for month to month Subscriptions on the calendar day corresponding to when you created your Account (Payment Date). In some cases, your Payment Date may change, for example, if payment is unable to be processed or if your month to month Subscription began on a day not contained in a given month.
Month to month Subscriptions automatically continue until cancelled in accordance with the cancellation clause below.
If you have paid for a Subscription upfront, it will end on the date set out on Platform and will not renew unless you purchase another upfront Subscription. We will notify you prior to the end of the current Subscription term.
We may modify our Subscriptions and the Subscription Fees from time to time. For month to month Subscriptions, any price changes will apply to you no earlier than 30 days following notice to you. For upfront Subscriptions, the price changes will not apply to you unless you renew your Subscription. The notice may be provided at any time via email or via notification to your Account. If you do not agree to the price change for your month to month Subscription, you may cancel your Subscription in accordance with the cancellation clause below.
Upgrading or downgrading your Subscription
You may upgrade or downgrade your Subscription to another tier at any time in the Account page / manage Subscriptions (or similar) or by sending us an email. The payment method linked to your Account will automatically be charged the Subscription Fee for your new Subscription tier on the Payment Date on which the upgrade or downgrade becomes effective.
The upgrade or downgrade will apply to the next month if you upgrade or downgrade your Subscription at least 7 business days before the next Payment Date.
If you upgrade or downgrade less than 7 business days before the next Payment Date, the upgrade or downgrade will become effective for the following month.

If you cancel your Subscription less than7 business days before the next Payment Date, you will be charged the Subscription Fee on the next Payment Date and the cancellation will become effective for the following month for month to month Subscriptions or the next year for annual Subscriptions.
General
We provide a number of payment methods on the Platform, including our third party payment processor, currently Stripe. The payment method you choose may be subject to additional terms and conditions imposed by the applicable third party payment processor. By making payment through a third party payment processor, you accept the applicable terms and conditions.
In the absence of fraud or mistake, all payments made are final. If you make a payment by debit card or credit card, you warrant that the information you provide to us is true and complete, that you are authorised to use the debit card or credit card to make the payment, that your payment will be honoured by your card issuer, and that you will maintain sufficient funds in your account to cover the payment.
Refunds and Cancellation Policy
The cancellation, variation or refund of any services ordered on this Platform is strictly a matter between the relevant Business and Service Provider. The terms and conditions agreed to between the Service Provider and the Business must be set out clearly in the relevant Project Request or Offer.
If you wish to cancel a Product you have ordered, you agree that we will have no obligation to refund you any monies paid for the Product. If you purchase a product through a third party website, the refund policy will be set out in the third party’s terms and conditions.
For Disputes between Businesses and Service Providers, we encourage Parties to attempt to resolve Disputes (including claims for returns or refunds) with the other Party directly and in good faith, either on the Platform or through external communication methods. In the event that a Dispute cannot be resolved through these means, the Parties may choose to resolve the Dispute in any manner agreed between the Parties or otherwise in accordance with applicable laws.
Points
You may accrue reward points based on your participation on the Platform, which will be attributed to your Account and viewable in your Account (Reward Points).
You will accrue Reward Points and may redeem Reward Points in accordance with the “How to use your points” guide on the Platform.
Points do not have a monetary value and cannot be redeemed for cash and are non-transferable.
Unredeemed Reward Points will expire 12 months after the date that they are accrued and cannot be used on or after the expiration date. It is your responsibility to keep track of the expiration date for your Reward Points.
We may at any time, cease, or suspend the Reward Points feature in your Account if we reasonably believe you are fraudulently obtaining or misusing the Reward Points.
If we are unable to continue offering Reward Points for any reason and at any time, we may cease or suspend the accrual of Reward Points to your Account. However, you will continue to be able to redeem any valid Reward Points in your Account.

If we consider that the Rating is untrue, unfair, inaccurate, offensive or inappropriate, we may delete the Rating or ban you from posting the Rating. We do not undertake to review each Rating. To the maximum extent permitted by law, we are not responsible for the content of any Ratings.
You may not make a Rating about a Service Provider or Business you have previously owned, currently own, or which an immediate family member currently owns, or if you are an executive or employee of that Service Provider or Business, or work for the Service Provider or Business. Similarly, you may not make a Rating about a direct competitor to the Service Provider you own, are employed by or work for.
